Terms of Service

1. Agreement to these terms
By creating an account or otherwise using DealSpace (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of a company or firm, you confirm that you have authority to bind that organisation to these terms. If you do not agree, please do not use the Service.
2. Beta phase software
DealSpace is currently offered as a beta product. Features may change, be added or be withdrawn without notice, and the Service may experience downtime, calculation refinements or data migrations. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.
3. Not financial, tax or investment advice
DealSpace is a financial modelling tool provided for informational purposes only and does not constitute professional financial, tax, legal, valuation or investment advice. Outputs including Gross Development Value, Net Development Cost, margin on cost, Return on Equity, IRR, equity multiple, VAT, stamp duty and grant figures are estimates generated from the assumptions you enter. You are solely responsible for verifying all inputs, assumptions and results with suitably qualified professionals before making any acquisition, financing, disposal or tax decision.
4. Your account
You are responsible for maintaining the confidentiality of your login credentials, whether you sign in with an email address and password or with Google, and for all activity that occurs under your account. You must provide accurate account information and notify us promptly of any unauthorised use. We may suspend or terminate accounts that breach these terms or that are used unlawfully.
5. Acceptable use
You agree not to reverse engineer, scrape, resell or sublicense the Service; not to attempt to access data belonging to other users; not to interfere with or place unreasonable load on our infrastructure; and not to use the Service for any unlawful purpose. You retain ownership of the property and deal data you enter, and you grant us the limited right to process and store it in order to operate the Service for you.
6. Intellectual property
DealSpace, including its software, financial engine, interface, branding and documentation, remains our property and is protected by intellectual property laws. These terms grant you a limited, revocable, non-exclusive and non-transferable right to use the Service in accordance with them.
7. Limitation of liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary loss, nor for lost profits, lost opportunities, lost funding, wasted expenditure, transaction losses or loss or corruption of data, arising from your use of or reliance on the Service. Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of the fees you paid to us in the twelve months before the claim arose, or €100. Nothing in these terms excludes liability that cannot lawfully be excluded.
8. Availability, changes and termination
We may modify, suspend or discontinue any part of the Service, and may update these terms from time to time. Where changes are material we will take reasonable steps to notify you. You may stop using the Service and request deletion of your account at any time; we may terminate access where these terms are breached. Provisions relating to disclaimers, limitation of liability and intellectual property survive termination.
9. Governing law
These terms are governed by the laws of Ireland, and the courts of Ireland shall have exclusive jurisdiction over any dispute arising from them or from your use of the Service.
